Scope and responsibilities

Understand the work, the records needed and the responsibilities that stay with you. Your written agreement defines the actual scope.

Suitable for

Authorized sellers preparing a controlled presentation; prospective buyers organizing diligence; and parties requiring an administrative transaction workplan.

Not suitable for

Legal opinions, securities offerings, appraisal or valuation, tax advice, escrow, lending, title insurance, guaranteed buyers, guaranteed financing or a promise that a transaction will close.

Deliverables may include

Confidential inquiry screen; authority check; transaction-definition memo; included/excluded asset schedule; document-request list; lien/payoff issue log; financial-support checklist; controlled presentation draft; qualified inquiry routing; diligence tracker; professional-referral list; and transition workplan.

Records needed

Seller or buyer identity and authority; entity documents; proposed transaction structure; asset descriptions; VINs and titles where applicable; lien and payoff facts; financial records authorized for review; material contracts; customer information subject to permission; operating status; insurance and regulatory records; transition expectations; confidentiality requirements; and professional advisers.

THS responsibilities

Organize supplied records, distinguish confirmed facts from representations requiring proof, maintain confidentiality controls, track questions and coordinate approved business-development and administrative steps.

Client responsibilities

Establish authority to disclose and transact, provide accurate records, obtain legal/tax/valuation advice, approve every external representation and retain responsibility for negotiation and final decisions.

Review and closeout

Conflict and authority screen; written scope; confidentiality control; document inventory; issue review; approved presentation or diligence routing; professional review; decision log; and closeout identifying retained records and unresolved conditions.

Fee and outside costs

Quote after confidential assessment. THS consulting or business-development fees, if any, must be stated in the written agreement. Legal, accounting, tax, appraisal, inspection, title, lien-release, escrow, lending, travel, filing and other third-party costs are separate unless expressly included.

Boundary

Named listings, asking prices, commissions, buyer qualifications, financing claims and public transaction details require case-specific written approval. THS does not promise a sale or closing.

THS is not a motor carrier. Submitting an inquiry is not an agreement. Signing records acceptance of the written terms. Your written agreement defines the scope and any funding required before work begins. THS confirms the required cleared funds, records, client authorization and written activation separately.
